Provisional Regulations on Control of Foreign Boar

STATE COUNCIL OF CHINA
PROVISIONAL REGULATIONS ON CONTROL OF FOREIGN BOARDS OF COMMERCE
 (Adopted 28 April 1989 at the 39th Executive Meeting of the State
Council)
 @@  Article  1.  These Regulations are formulated in order to
promote  international  trade  and  economic  and  technological
exchange, to improve control  of foreign boards of commerce and to
safeguard their legal rights and interests.
 @@  Article  2.  The  term  "foreign board of commerce" shall
refer  to non-profit  groups  which  do not engage in any business
activities and are established in China by foreign commercial organs
and personnel, pursuant to the provisions of these Regulations.
 The aim of the activities undertaken by a foreign board of commerce
shall be  to  encourage  the expansion of trade and economic and
technological exchange  links between its members and China and to
facilitate  research  and  discussion  by  its  members  on  the
promotion  of international trade and economic and technological
exchange.
 @@  Article  3.  A foreign board of commerce shall comply with the
laws and statutory regulations of the People's Republic of China and
in no way harm the national security and public interests of China.
 @@  Article  4.  To establish a foreign board of commerce it
shall be necessary to possess the following:
(1) a constitution reflecting the common will of the members;
(2) a given number of founding members and persons in charge;
(3) a fixed office venue;
(4) a legitimate source of funds.
 @@  Article  5.  A foreign board of commerce shall be founded under
the name of a country and may have group members and individual members.
 Group  members  shall  be those participating under the name of a
commercial organ.  A commercial organ shall denote a representative
office or branch of a  foreign  company,  enterprise  or  other
economic  entity which has been established in China pursuant to the
law.
 Individual  members shall be those non-Chinese staff of commercial
organs or foreign investment enterprises who join a board under their
own names.
 @@  Article  6.  The  name  of a foreign board of commerce shall
contain the name of the respective country, together with the word
"China".
 @@  Article  7.  To establish a foreign board of commerce, a
written application  shall be submitted to the China International
Board of Commerce which, in turn, shall present the application to
the Ministry of Foreign Economic Relations and Trade (hereinafter
referred to as the inspection organ) for inspection.
 The  inspection  organ shall complete its inspection within 60
days of receiving  all  application documents and shall issue a
certificate of approval  to  an  applicant  which  fulfills  the
conditions  prescribed in Article  4  of these Regulations. Any
application which does not comply with these requirements shall be
rejected  and  returned to the applicant. An inspection organ shall
be  required  to  state  the reason for a delay if special
circumstances  prevent  it from completing an inspection within the
specified time limit.
 @@  Article  8.  The written application to establish a foreign
board of commerce  shall  be  singed  by the person in charge of
preparatory work for the board and shall be accompanied by the
following documents:
 (1)  five  copies  of the constitution of the proposed foreign
board of commerce, including the following content:
(i) the board's proposed mane and address;
(ii) organisational structure;
  (iii)  name  and  official  status  of the board chairman,
vice-chairman and standing executive;
  (iv)  procedures  governing  membership  application  and  the
rights and obligations of members;
(v) content of activities;
(vi) financial status.
 (2)  five  copies  of  the  list of founding members, with group
members and individual  members to be listed separately. The list of
group members shall state  separately  the name, address, business
scope and name of the person in charge of each commercial organ.
The list of individual members shall state separately the name of
the commercial organ or foreign investment enterprise to which each
person belongs, his position, curriculum vitae or background on his
personal business career in China.
 (3)  five  copies of the list of names and curriculum vitae of the
chairman, vice-chairman  and  standing  executive of the proposed
foreign board of commerce.
  @@  Article  9.  After  the  inspection  organ  approves  an
application for establishment  of  a foreign board of commerce, the
certificate of approval shall be submitted to the Ministry of Civil
Affairs (hereinafter referred
